1. Sponsor. The Felix Women’s Healthy Living Show Giveaway (the “Contest”) is sponsored by Felix Health Inc. (“Felix”), 304-488 Wellington Street, Toronto, Ontario, M5V 1E9.

2. Eligibility. The contest is open to full time residents of Ontario, Canada, who are at least 18 years of age at the time of entry. Sponsor employees, directors, contractors, or any other affiliated party, and immediate family members (regardless of where they live) or other household members (whether related to the person or not) are not eligible to enter. By participating, entrants acknowledge compliance with, and agree to be bound by these “Contest Rules”. Entrants who do not comply with any of the Contest Rules are subject to disqualification by the Sponsor, in the Sponsor’s sole discretion. 

3. Contest Dates and Times. The Contest begins on June 7, 2025 at 9:00 AM EST (“Contest Start Date”) and ends on June 8, 2025 at 11:59 PM EST (“Contest End Date”), after which time the Contest will be closed and no further entries will be accepted.

4. How to Enter. No purchase necessary. You can enter at the Felix Health booth at the Women’s Healthy Living Show (the “Show”) in Toronto, Ontario. A QR code will be available during the Show for potential entrants to scan, where they will be asked to provide their legal name and email address. Submissions made after the Contest End Date will not be eligible for Contest entry.  Contest entry will be automatically recorded when the Sponsor’s server records submission via webform. Entrants may opt out of the Contest by contacting hello@felixforyou.ca. 
   
   Any attempt, or suspected attempt to use robotic, automatic, programmed, or otherwise illicit   means to enter the Contest, or any other methods not authorized by these Contest Rules shall be deemed as tampering and may disqualify you from entering, participating, and/or winning a prize, in the Sponsor’s sole discretion. Entries that contain false, or incomplete information are void. Entries that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, incomplete, altered, or otherwise irregular or that do not conform with or satisfy any or all of the conditions of the Contest Rules are void. Proof of transmission (e.g. screenshots) do not constitute proof or receipt of entry. 
   
   Entrants who do not have an account on the Felix platform (“Account”) agree to receive electronic communications about the Contest for up to 1 month after the Contest End Date. See “10. Privacy” for information about privacy practices related to the Contest. 
   
   All entries must be complete and are subject to verification by the Sponsor, in its sole discretion. The Sponsor shall have the right at any time to require proof of identity or eligibility, including, without limitation, government issued photo identification to participate in the Contest. Failure to provide proof may result in disqualification. All personal and other information requested by and supplied to the Sponsor for the purposes of the Contest must be truthful, complete, and accurate. The Sponsor reserves the right to disqualify an entrant at any stage for supplying untruthful, incomplete, or inaccurate information.

5. Contest Prize. There is one prize to be won:
   
   One ( 1 ) prize of a gift card to The Pearle Hotel and Spa (Retail value of $700.00 CAD)
   
   All winners assume any and all liability for any injury or damage caused, or claimed to be caused by entering or participating in this Contest or to use or redeem the prize. Prizes must be accepted as awarded. Prizes or any portion of a prize cannot be combined with other discounts, promotions or special offers. Sponsor reserves the right to substitute an alternate prize of equal or greater value if an advertised prize is unavailable at the time of award.
   
   Prize Description: Includes free electronic transmission to the email address provided when entering the Contest. Trade-ins are not allowed. This contest is not affiliated with The Pearle Hotel and Spa or The Pearle Hospitality.

6. Odds of Winning. The odds of winning depend on the number of eligible entries received before the Contest End Date. Allocation will be randomly determined based on the results of the draw.

7. Skill-Testing Question. Selected Entrants will be required, as a condition of winning a prize, to correctly answer, without assistance of any kind, the Sponsor’s time-limited, mathematical skill-testing question to be administered by email.

8. Winner Selection and Confirmation. On June 12, 2025 (the “Draw Date”) at 300-111 Peter Street Toronto, Ontario, the Sponsor, an employee, agent or other representative of the Sponsor will conduct a random draw from all eligible entries received before the Contest End Date and select potential winners (“Selected Entrants”). Selected Entrants must meet all of the eligibility requirements set out in the Contest Rules; if they do not meet the requirements, they will be disqualified, and another Entrant will be selected by way of a random draw from the remaining eligible entries. Before being declared a winner, Selected Entrants will be required to: (i) correctly answer the Sponsor’s skill-testing question, and (ii) sign and return the Sponsor’s Declaration of Eligibility and Winner Release (the “Winner Release”), and (iii) comply with all other Contest Rules, all in the sole discretion of the Sponsor.
   
   Selected Entrants will be notified within five business days of the Draw Date by electronic communication and the information provided at the time of entry into the Contest. Up to three attempts may be made to contact Selected Entrants. A Selected Entrant that does not or cannot accept a prize may be forfeited and a new Entrant will be selected by way of a random draw from the remaining eligible entries. A signed and completed copy of the Winner Release must be received by the Sponsor no later than five business days after the Selected Entrant is notified of selection. The Sponsor is not responsible for the failure for any reason whatsoever of a Selected Entrant to receive notification or the Sponsor to receive a Selected Entrant’s response.
   
   Disputes regarding identity of the Selected Entrant: If the identity of a Selected Entrant is disputed, the entry will be deemed to have been submitted  by the individual assigned to the email address at the time of entry. Each Selected Entrant may be required to provide proof that they are the person associated with the entry. 

9. Release and Indemnification. All potential winners must sign the Sponsor’s Winner Release to (i) confirm compliance with the Contest Rules, (ii) agree to accept prizes as awarded, (iii) release, discharge, and hold harmless the Sponsor, its employees, directors, contractors, or any other affiliated party associated with the administration, development, and execution of the Contest (“Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize, failure of any third-party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by the winner with any aspect of the Contest or prize, liability from physical injury, death, or property damage which the entrants, guests, or their heirs or assignees have, might have, or could have suffered by reason of or arising out of the Entrant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the Entrant of prizes as awarded, and (iv) indemnify the Released Parties against any loss, damage, expense, including legal fees, that may be incurred as a result of any non-compliane by the Entrants with any of the Contest Rules, or participation in the Contest, and/or in participation in the Contest, and/or in connection with the acceptance and/or exercise of a prize.
   
   The Sponsor is not responsible for: (i) incorrect or inaccurate entry information that may affect a person’s ability to participate in the Contest, or be awarded a prize, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, omission, or any combination thereof, and entries that fail to fully comply with the Contest Rules, (ii) technical failures of any kind, including, but not limited to malfunctions or interruptions, (iii) lost, incomplete, delayed, mutilated, or misdirected entries or Winner Releases, (iv) injury or damage to the Entrants’ computer or to any other individual’s computer related to or resulting from participating in, or downloading any material associated with the Contest or accepting a prize, (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of the prize, or, (vi) late, lost, or unsuccessful efforts to notify a potential winner.

10. Privacy. All Contest Entrants agree to abide by the Sponsor’s privacy practices, outlined in the Privacy Policy, as applicable for the purposes of the Contest. Selected Entrants also agree to abide by the privacy practices of any third party used to verify their eligibility to participate in the Contest, and to transmit the Prize as necessary (e.g. Google Meet). 
    
    By participating in the Contest, Entrants consent to the collection and use of their name and email address for the administration of the Contest. The Sponsor is not responsible for the security or privacy of information transmitted for the purpose of Contest participation via computer networks or for breaches of privacy due to interference by third-party computer hackers or otherwise. 
    
    For Entrants who have or may at any point create a Felix Account, Contest participation is in no way tied to your Felix medical profile or history. Marketing communication that is not solely in relation to the Contest will only be transmitted if your consent to receive such communication has not been revoked. 
    
    For Entrants who have never, and do not currently have a Felix Account, consent to receive limited marketing communication not solely in relation to the Contest can be revoked by contacting hello@felixforyou.ca.

11. Law. The Contest is void where prohibited by law and is subject to all applicable Canadian federal, provincial, and municipal laws. The Contest shall be governed exclusively by the laws of the province of Ontario, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Contest rules, rights, and obligations between entrants and the Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of legislation.

12. Rule Amendments. The Sponsor reserves the right, in its sole discretion, to amend or modify these Contest Rules, or modify, cancel, or suspend this Contest without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest.

13. Intellectual Property. All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, course codes, images, drawings, illustrations, slogans, and representations are owned by the Sponsor unless otherwise stated. All rights reserved. Unauthorized copying or use of any of the Sponsor’s intellectual property without the express written consent of the Sponsor is strictly prohibited.

14. No Affiliation. This contest is not affiliated with The Women’s Healthy Living Show, The Pearle Hotel and Spa, or The Pearle Hospitality.
